would it make a difference if i were to put a new video card onto an old dell inspiron with a pII 233 processor?
like to be able to watch divx movies
and would there be any more upgradesi could make to make this possible?

Upgrading RAM and the video card is always a nice boost to increase speed and performance when it comes to movies and games. However, the 2nd generation Pentium may be a little too far behind the power curve to get the sort of performance I imagine you are looking for regarding DivX movies.
