To upgrade or not to upgrade that is the question

Hi,
I have a 5 year old Tiny computer, it has a Pentium4 1.38GHz and 256MB ram.
It's a bit slow but is now not the main computer in the house, but i would like to know if it's worth upgrading, i know i would have to find out more info on the spec to get an accurate answer but if you could give me an idea i would be greatful.
I think i have DDR ram, and know it's easy to upgrade that, but what about the CPU, how far can i upgrade and is it simple i.e. plug and play.
the main reson for upgrade is it's slow at copying DVD/cd's and slow if you us to many things at the same time? it wont be used for gaming.
Also where's the best place to buy, i have looked on ebay and is it worth going for secondhand bit's? or is some where like Maplan beter?

upgrade the ram to 512 or 1gig first
upgrading the cpu depends on the m/b and the bios may need flashing to recogise later cpu's
