Have recently purchased Intel E5400 http://ark.intel.com/Product.aspx?id=40478

Put into my mother board, computer is Acer Veriton 3700gx http://www.productreview.com.au/showitem.php?item_id=18048

As far as i can read this CPU is compatible with my computer, put in computer and it wont boot, cpu fan turns on and hard drive makes some noises but no boot, have tried to update BIOS with winflash and it makes it half way through then says theres an error, bios file is write protected? make sure bios jumpers are set to correct? is what it says, but wen i use CPUz it says the bios is up to date, has it done this correctly?

I am no expert with computers so any help here is much appreciated

OEM PC's use Mobo/Bios made for them. I seriously doubt that the E4500 is compatible with your Mobo. You would need to know the Brand & Model of your Mobo to be certain. Contacting the PC manufacturer is alwayss the best source of info for CPU compatibility.
A bad Bios Flash can very easily render your Mobo useless.
Remove the E4500, clear the CMOS, put your old CPU back and see if the PC will boot.

agreed I also doubt that the cpu is compatible just because an oem machine says it will take lga 775 cpus does not mean it will take any 775 cpu because the manufacturers limit this in the design.

the bios revision matters

The fsb doesn't have to match but it does have to one that the motherboard can use some motherboards can use CPUs with two different FSB speed such as 800MHz and 1333MHz

cache is on the cpu not the motherboard.

Oem motherboards are different from ones you put into a computer you build yourself as they sometimes have their own specialized BIOS that you can't updaste or make changes to.

Thank you guys for your help, think im gonna splash out on a new mother board
be ware that "afternarket" mobo's may or may not work with an OEM case. I know 95% of dells wont because they screw the CPU cooler directly to the case, and those standoffs will ground an aftermarket boad. and BTX is a completely different specification.
