Technically you don't have to but I think its better that you start fresh rather than trying to upgrade to Windows XP (NT based) over a 9x based Windows - Windows ME at that
Its a big job.
So unless your Win ME don't give you any trouble, I suggest you start fresh
To format the PC is simple, just throw in the Windows XP CD and restart the computer
If your XP cd is an upgrade version, it will look for a previous version of windows (on the harddrive or ask you to insert the win me cd) before it proceeds to install
If your XP cd is a full version it will simply install
