Sounds like a memory problem, do you have any other memory sticks lying around, or if you use 2 to get the 256 try removing 1 and testing to see if the problem is still there, then swap and repeat.

Welcome to the board, Playing tag-team I see

When the system freezes in XP do you get a screen saying anything about a Mini-Dump? Or does it simply lock??
(XP almost never does this, if it does it signifies significant hardware problems 100% of the time, no software problem will cause this.)

Also try checking the event viewer, both the Application and Systems logs and see if there are any Exclamation points or large red X's on any of the logs.
