I'm not a fan of MSI Mobo's but it is a better choice than the BioStar. Asus & Gigabyte are good quality.

RAM: I would go with the 2nd listing.
My first priority would be a replacing the Ultra PSU with a 650W good quality unit.
Most newer Mobo's still have one IDE connection (supports 2 IDE devices) so you could still use your IDE Optical Drive.

i have had no problems with this power supply yet + I do NOT have that kind of $ right now. + was going to upgrade power later on[ OCZ ZX Series 1000W 80 PLUS GOLD Certified Modular Power Supply or OCZ ZX Series 1250W 80 PLUS GOLD Certified Modular Power Supply :-D ] with a New video card

Why do people say your crazy getting a 1000w+ is crazy :4-dontkno
50% load is its Max energy savings, 1000w @ 50% = 500w. PC idles almost @ 500w :deal:
I understand your lack of funds but the first money I would spend would be on a good quality PSU to avoid damage to other hardware. Nothing is more harmful to hardware, particularly GPU's, than the lack of sufficient clean power.
There is rarely a need for 1000W but if needed there are better brands available. OCZ are OK but not the top quality that SeaSonic-XFX-Corsair are.
We can only advise with what we know. In the end it's your money and your decision.
The truth is i don't even have $3 in my name, i'm going to go to my Mom and ask for $, I'm going to say "Mom, i know we don't have much $ but the desktop is not doing so well anymore, its old, Its on over 12 hours a day, it Idles a lot and these New cpus and motherboards ect have great energy savings, $870 with tax with ship for a new CPU, MB, RAM, Power, CD, HD +OS" she'll he like "870 your crazy, you probably have a $500 video card in that to help your "Game play" NO"

:-*(
