First of all, thank you for helping me out. I appreciate it.

Anyway, I've been wanting to upgrade my processor for quite some time. Currently I've got an AMD Sempron 3200+ CPU, Socket 939.

I found a really great deal on an AMD Athlon 64 X2 4800+, which is the best processor I could find for my rather outdated socket. The problem lies in that I'm not very competent when it comes to issues regarding 64 vs 32 bit.

I cannot find any other dual-core processors for my socket other than the Athlon 64, so I'm wondering what kind of problems I would have to deal with if I switched out my current processor with the 64. Would I have to buy new hardware? Or a new OS?

They are all 64bit, bit not a concern they run 32 or 64 bit windows just fine, the 64 bit CPU's are backwards compatible to 32 bit OS's.

I've heard that a 64 bit processor will actually run 32 bit programs slower because they have to be *converted* persay? Or run through an emulator or something? Is this true?

All CPU's have been 64 bit since the Pentium 4's about 6 years ago, AMD came out with the Athlon 64 single core about 2003, there are no emulators or conversions involved.
