XP MCE is an OEM Version, there were no Retail versions. This means you can't legally transfer the license to a new PC.
Replacing the motherboard is considered a new PC unless
- It's the same model as the original
- The original model is no longer available, and it's the model the manufacturer would supply as a warranty replacement
Unless one of the above applies, you'll have to purchase a new copy of XP.
If the Recovery disk is the kind that restores an image, it may not work in the case of the 2nd situation; it will depend on how different the new board is.
The PC manufacture may be able to supply you with a OS Re-install disk, rather than a Recovery disk in that situation.
