Windows Keeps Freezing

My windows freezes and I can't figure out why. I just recently upgraded my motherboard from a P3 to a P4 and it sticks often. I decrease my hardware acceleration settings and it still sticks but not as frequent...

Please take a look at my hijackthis file attached and let me know if you can assist...
