w2k startup problems

I have a Dell Latitude CPi-D that will not allow w2k to startup. At power up the bios screen is displayed, then the hard drive LED glows steadly and the " loading windows 2000", with the F8 key for start up options, screen appears as soon as the bar graphic travels from left to right the screen turn black and reverts to the bios screen. This will cycle until the power is turned off.
If I use the F8 key all the startup options listed, including safe mode, fail to operate. This is what I have tried thus far;
I have formatted, set a logic partician, and activitated it using a ERD
I reinstalled w2k on the HD (using same make and model machine)
I have taken a working HD from the above machine and swapped it with the non-working machine, failed to start w2k, however Norton GO Back initialized long enough for me to change the clock only to go black and return to the bios screen.
The HD from the non-working machine started up when put in the working machine. I'm stumped any help greatly apperciated. Machine vitals;
Dell Latitude CPi-D 266xt
Pentium II
128MB
4g
Pheonix bios v A02

It sounds like it may be hardware related. Can you swap out the RAM from another computer? It could be the MB too I suppose.

Here's what I done

I've swapped HD's same black screen and boot loop. Took out dimms one by one and attempted startup, fimiliar boot loop. Inaddition the bios values won't change when the left or right keys are used, except the HD and configure passwords, which I haven't setup. If that isn't enough I can't get the bios to flash, it just won't run from the floppy even if the Dell Diagnostic and a Win98 boot disk will run. I'm out of ideas I think there must have been an electrical spike at sometime and the HD controller got wacked, there are just too many different problems to have a single software problem. Any suggestions greatly apperciated. Thanks.
