Me - Dell Latitude - hangs at bootup

Help - Dell Latitude hangs with the WindowsME screen displayed.
- Same thing with SafeMode
- Same if reboot from CD
- Step-by-step confirm hangs at "updating configuration files"
- I have tried re-installing ME from CD and from the cab-files at windows/options/install - same result
- I tried emergency recover disks -- the one from www.bootdisk.com and the one made during install from the cab-files. When I ask it to make a /bootlog.txt file, it doesn't seem to make one - I can't find c:\bootlog.txt nor c:\windows\bootlog.txt the next time I boot to A:>
- I did a full surface scan -- passes
- I removed windows/temp/*.*, swapfile, and executed fdisk /mbr

- I have also read it could be memory.. is there a memory diagnostic I can get?? And doesn't the computer do a cursory memory check at bootup?

Any help would be greatly appreciated.
