modem replacement

New to all this. Pardon my lack of info but can anyone help.
A friend of mine has a fried modem and wants to replace it.
Will an oem pci intel ambient replace a hsp 56 micromodem.

You'll obviously have to install the new drivers, but they have basically the same capabilities.

OS: Win98 & XP dual Boot


Just buy a modem with the same characteristics(ie V90 56k) and it should come with a driver disc. Delete and discard the old modem and fit the new one using the new drivers.
