The card is, most likely, PCI-E so the answer is yes.
An AGP card won't work.

so it'll work even if the card has sumthing like um, 726(?) mb 'GDDR3'?
my P5L-MX has sumthin about 'ddr2'

The RAM on the card is only used internally, so the motherboard will have no problems with that.

You can use the PSU calculator (link in my signature). Add 30% to the result.
And, please, get a quality PSU - click the PSU info link for an excellent guide.
