Help Me " problem with formatting flash drive"

when I format the flash drive, the message appears that shows "Quit any utilities that use the drive or Quit any open windows that open the contents of the drive" and i follow the message but I can't format it. what i m wrong? Please lead me to the right.

why do you want to format it?

What brand is the drive? It might have some software on it that is causing the issue.
It could also be defective.
