Upgrading PC

I currently have my computer,

ASUS M2N-E SLI AM2
AMD Athlon 64 X2 4400+ 2.3GHZ
2GB Corsair XMS2 PC5400
Diamond Viper Radeon X1950 Pro 512MB

and I was wondering, if I upgraded it with

Corsair XMS2 TWIN2X2048-5400C4 2GB 2X1GB PC2-5400 DDR2-667 CL 4-4-4-12 240PIN Dual Channel Memory (another 2gb of RAM)

BFG GeForce 8800GT OC 512MB GDDR3 PCI-E Dual DVI-I HDCP HDTV Out DIRECTX10 Video Card

AMD Athlon 64 X2 6400+ Dual Core Processor Socket AM2 3.2GHZ 2X1MB 90NM 125W Retail Box

Would I need more than a 500w PSU?

Another question, does anyone see a reason NOT to upgrade some of these parts?
