Computer freeze at boot-up [HELP!]

Hey TSF Community, i've got a bit of a problem here. Recently I upgraded my bro's CPU for his pc, and now suddenly when the computer get's booted, it freezes during Windows XP boot screen, tried safemode, but still freeze's. It was upgraded from a Intel Celeron 2.6ghz to a Pentium 4 2.8ghz - Cooler has been bought to support P4.

Specs: Intel P4 2.8GHZ, GeFORCE 6200 256, 1GB Ram.

Acer j88m, if i put the celeron back in, it works, but freezes when i insert the p4 at windows xp screen

1. But bios reads the new cpu fine?

Thought: If a livecd boots properly, would that rduce the problem to windows?
