Toshiba Satelite M105-S1021 FREEZES!!!!

My Toshiba Satelite M105-S1021 freezes after 10 minutes of power on(AC or Battery). I thought it was the HDD (replaced, no help). It seems thermal in nature. My next thought was the RAM (it seems chips are not accessable from bottom of unit there are no chips in slot). PLEASE HELP!!!
Should I change the MB?????

could be RAM. Get hold of your laptop's service guide. Use as reference, I believe the RAM is underneath the keyboard. You need the service guide for disassembly reference. without taking out the RAM run Memtest86+. Download ISO from the link on my sig. below. Burn the ISO image into CD. Once done boot from that CD in your CD drive and Memtest86+ diags will start.
