What kind of an upgrade are you doing? Power Shell is a task framework associated with Net Frameworks Aps and without knowing specifically what you doing its hard to say why you are getting such notice.

Hi rich, I was going to do a clean install with original disc, but as it goes along it gives me the option to upgrade, recommended, leaves all files and programs untouched, I click upgrade, and as it goes further it say's must remove powershell to continue.

Powershell is a command line scripting environment. It was offered as one of the Windows Updates. You can Uninstall Powershell in Add Remove Programs. How to Uninstall Windows Powershell in XP | eHow.com
