Upgrading CPU?

I'm currently running a Pentium 4 3.0Ghz 800Mhz processor w/ H/T. I want to upgrade to a new Core 2 Duo 2.4Ghz 1066Mhz that I just purchased. I have a Dell Dimension 9100, and according to my manual, it will support a 1066Mhz processor, and I know that I had the option of purchasing a core 2 duo when I bought my PC, but I couldn't afford it at the time.

Anyway, I get my processor last night, and replaced it with the old one. I had the correct socket and whatnot. I had to use the same cooling unit because of Dell's ingenious cooling unit that pulls air from the cutout in the front of the case, and motherboard that has the screw holes positioned to far apart to support a standard cooling unit. I dont think that this had any adverse effect though. My problem came after I plugged everything back into the PC, and flipped the switch on my PSU to give everything power. The PC always powers everything up for about a second and then shuts down. This time, it powered everything up and just kept going. So I decided to put my old CPU back in and power it all up again. It all worked fine, so I didn't mess anything up during the installation, so it has to be a compatibility issue or a DOA processor correct?

Is there something I need to do in the Bios before I replace the CPU or what?

I just wanted a second opinion, or to be righted in my infinite wrongness. I can afford a new motherboard at this time, but don't really want to buy one unless absolutely necessary.
