If the motherboard is an exact match for the one that died, then you should be able to just switch the motherboard out and have it work. Absent from that or if it does not respond, then you could simply do a repair install. Good luck and let us know if you need further help.
Unless you have a burning desire to switch out a BIOS chip, I would not do that, I would just set it up and update the BIOS on the new board you have purchased if in fact it is outdated. Then, if something goes wrong, you have an extra bios chip waiting in the wings (or drawer, where ever you put yours) to use.
