So you're sure the heatsink and fan are properly seated and blowing down? Sounds like its going into thermal protect mode. Try reseating everything, and using 1 stick of RAM. Only the bare minimum, and if it works, go ahead and add hardware one at a time so if you have an issue, you know what caused it.

Resetting the CMOS isn't a bad idea either. Leave the battery out for 20 minutes or so, and use the jumper to reset and start anew.
