asus p4s800d-x, issues

i just installed a asus p4s800d-x mother board socket 478, pentium 4, 3.0gighertz, 800mhtz fronside bus, I have two hard drives installed, dvd burner, cdburner, 3 ram chips (256 each) pc3200 ddr, 400mhz. supports hyperthreading. when i first boot up i get an amibios code beep. 1 long and 2 short. this indicates video card issues. I replaced the video card (pci) and it does the same thing. However it will boot after the second reboot. then i get an overclock failed error, press f1 to enter setup or f2 to accept default settings. My computer is not overclocked. i accept default settings and reboot and i get the video audio error beep again. I then reboot and get no error accept the one about overclocking failed. I am thinking maybe my power supply is having voltage problems. it is an atx 420watts 12 volts. plenty of power. Any ideas. i can't seem to get rid of that overclocking warning or that audio code warning ... oh i haven't run the motherboard cd that came with it yet, because i don't have the operating system installed yet. should i do that first?
