The first one has the NForce 3 chipset - the second NForce 4. (Which means amongst other things the first is AGP , second PCI-E). You probably want to go with the second one.

I dont know what particular HDD is in the DELL - i am sure you can use it though. Just make sure you'll get a new OS with your new PC too.
