I have the same problem (Same motherboard), however it's only if I bank the ram together to run in Dual Channel Mode... (So running two identical ram sticks in ram slots 1 and 3 to go to dual channel mode).
I have a feeling it's because the video card to too crappy to support running the ram at dual channel.
Have you tried running your ram in single channel mode? (Either take one stick out as suggested above, or read the manual for more info)...
You probably havn't as you posted this in 2006 ... but if you had listened to linderman above you may have sorted this out :P
