P5AD2 Premium/P5AD2-E Premium problem

Hi,
This is my first computer that I have built myself with the help of a friend who is more knowledgeable than me. This is my system.

Intel P4E processor 3.46 Ghz 1066 FSB
ASUS P5AD2 motherboard
AX600XT PCI Express graphics card
2GB Corsair PC4200 DDR2
4 300Gb Maxtor SATA w/RAID 10
Ultra 500W PS w/20 to 24 pin power adapter

I got windows xp fully loaded on it and the system was semi stable but sometimes it would reboot on its own or during the POST it would say "system failed due to CPU overclocking." So I thought it was because my motherboard didn't support 1066 FSB so I ordered the P5AD2-E which does and that made the problem worse because now it won't pass the POST and in addition the the overclocking error it says sometimes "system failed CPU test," but I know the CPU works because It worked with the other mobo and I could even run the system for a couple hours sometimes before it would reboot. If anyone has any Ideas how I can fix this please help me!!!!!!
