Hi,
A 350W PSU? A bit weak, no?
Have you tried installing the XP with minimal components and the BIOS as near it's defaults as possible?
(Minimum=PSU, Monitor, CPU, RAM, Video, single HDD, CD/DVD and Keyboard & Mouse. Nothing else at all, including extra fans.)
Then, once XP installs, add one component at a time.
