OS: xp sp2


No beep, problem found, need further help

Hi everyone,

My computer has been locking up, feezing, for over months. I've been looking over the internet trying to find a solution. I've reseated the RAM over a trillion times. At times, this worked, but lately it stopped working. The computer is officially dead.

Problem: Computer will not start up, no beep, fans running, CD/DVD drives working.

Why I think it's the mobo:

Not PSU - fans work, drives work, etc...
Not CPU - switched it with my bro's CPU, still doesn't work, no beep
Not RAM - removed ALL RAM and it still doesn't work (didn't do the 3 beeps its suppose to).
not video card - used a different video card and computer still doesn't turn on.
not HDD - unplugged HDD, still doesn't work

What I really need help:
If I install a new mobo, will I lose my OS (meaning do I have to buy a new one?)
Will the things in my hard drive be recovered with the new mobo(Can I just pop in the recovery CD)?
Will I have to work with all the POST, BIOS, etc...when I install my new mobo?
I am almost 100% sure its the mobo, but I still need confirmation from other people, which is why I came here.
Is installing a new mobo more essentially more difficult than installing a HDD, drive, RAM, video card, etc...?
