Red Faced [SOLVED] Slow Overheating CPU help needed

My computer has been having some really bad problems lately that i cannot fix. I would really like to know if there is still some hope for my computer before i a) reformat is completely or b) buy a new one.

System Info:
ORIGINAL:
Computer Build: eMachines T3882
CPU: Intel Celeron D 335 (2.8Ghz)
Internet: Good DSL
ADDED:
VisionTek ATI Radeon X1300 Video Card
2 GB of RAM

My computer SUCKS!!! I can't even play Counter-strike (Half Life 1) without it lagging horribly. I have had this computer for 3-4 years now and recently it has been acting worse than usual. My CPU have been overheating on occasion causing my computer to shut down. I have heat-sink and a fan on it, and when I touch my heat-sink.... It's so hot it burns. Also sometimes when my computer is off all night when i first start it up I can play any game on the highest graphics with no lag whatsoever, but withing 2-5 minutes it slows down to unplayable.

Please help me I have tried everything. I can't underclock/overclock because that part of my system BIOS is grayed out and unreachable. I have tried register fixing programs. I am pretty sure its my CPU.

EDIT: I may have posted this in the wrong area of the forums, if so can somebody move this to the correct place, ty.
