Hi GeckoLI, it sounds like a power issue to me, if you could post the name and model number of the power supply name and the +12v amp output listed on the side of the unit.
It seems the Gigabyte motherboards by default only provide 1.8v to the memory, the Vista Gold Series requires 2.1v and are warrentied up to 2.2v +/- 5%. Check in the bios to find the "DR2 Overvoltage Control"and see if you can raise it to 2.1v. Try this with only one stick installed.
Make sure you have the 24 pin, and the 8 pin power plugs connected to the motherboard and the 6 pin video card power connectors all firmly connected. Mike
